Agreement to Our Legal Terms
We are RiseGrind ("Company," "we," "us," "our").
We operate the RiseGrind mobile application, as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services"). You can contact us by email at webagency.kenzo@gmail.com.
These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and RiseGrind, concerning your access to and use of the Services. By accessing the Services, you agree to be bound by all of these Legal Terms. If you do not agree, you are expressly prohibited from using the Services and must discontinue use immediately.
We reserve the right to modify these Legal Terms at any time. Changes are indicated by an updated "Last updated" date. Continued use of the Services after changes constitutes acceptance.
1. Our Services
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution would be contrary to law. Those who access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.
2. Intellectual Property Rights
Our intellectual property
We are the owner or licensee of all intellectual property rights in our Services, including source code, databases, software, designs, audio, video, text, and graphics ("Content"), as well as trademarks, service marks, and logos ("Marks"). Content and Marks are provided "AS IS" for your personal, non-commercial use only.
Your use of our Services
We grant you a non-exclusive, non-transferable, revocable license to access the Services for personal, non-commercial use. No part of the Services may be copied, reproduced, republished, sold, or otherwise exploited without our prior written permission.
Your submissions
By sending us any feedback, suggestions, or ideas ("Submissions"), you assign to us all intellectual property rights in such Submissions, and we may use them without acknowledgment or compensation. You are responsible for what you post, and you agree not to submit anything illegal, harassing, hateful, defamatory, obscene, or misleading.
3. User Representations
By using the Services, you represent and warrant that:
- You have the legal capacity and agree to comply with these Legal Terms.
- You are not under the age of 13.
- You will not access the Services through automated or non-human means.
- You will not use the Services for any illegal or unauthorized purpose.
- Your use will not violate any applicable law or regulation.
4. Prohibited Activities
As a user of the Services, you agree not to:
- Trick, defraud, or mislead us or other users, especially to learn sensitive account information.
- Use any information obtained from the Services to harass, abuse, or harm another person.
- Use the Services in a manner inconsistent with any applicable laws or regulations.
- Impersonate another user or person, or use another user's username.
- Interfere with, disrupt, or create undue burden on the Services or connected networks.
- Bypass any measures designed to prevent or restrict access to the Services.
- Decompile, disassemble, or reverse engineer any software comprising the Services, except as permitted by law.
- Create multiple accounts or fake identities to manipulate the Ghost Crew leaderboard or friend system.
- Use the Services to compete with us or for any revenue-generating endeavor without our written permission.
5. User Generated Contributions
The Services may allow you to create or submit content including journal entries, mood entries, avatar images, and display names (collectively, "Contributions"). Your Contributions are private by default and not viewable by other users except where you explicitly enable sharing (e.g., Ghost Crew leaderboard stats). By submitting Contributions, you represent that you own or have the necessary rights to do so.
6. Contribution License
You and RiseGrind agree that we may access, store, process, and use any information and personal data you provide. We do not assert any ownership over your Contributions — you retain full ownership. We are not liable for any statements or representations in your Contributions.
7. Services Management
We reserve the right (but not the obligation) to monitor the Services, take legal action against violators, refuse or restrict access to Contributions, and otherwise manage the Services to protect our rights and property.
8. Term and Termination
These Legal Terms remain in effect while you use the Services. We reserve the right to deny access to and use of the Services to any person for any reason, including breach of any representation, warranty, or covenant. We may terminate your use or delete any content at any time, without warning, in our sole discretion.
9. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will be available at all times and will not be liable for any loss or inconvenience caused by downtime or discontinuance.
10. Governing Law
These Legal Terms are governed by the laws of Switzerland, Canton of Geneva. Both parties irrevocably consent that the courts of Geneva, Switzerland have exclusive jurisdiction to resolve any dispute arising under these Legal Terms.
11. Dispute Resolution
Informal Negotiations
The parties agree to first attempt to negotiate any dispute informally for at least 30 days before initiating arbitration.
Binding Arbitration
Any dispute will be finally resolved by arbitration under the Rules of the International Commercial Arbitration Court under the European Arbitration Chamber. Number of arbitrators: 1. Seat: Geneva, Switzerland. Language: English. Governing law: substantive law of Switzerland.
Restrictions
Any arbitration is limited to the dispute between the parties individually. No class-action arbitration is permitted.
12. Corrections
We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time, without prior notice.
13. Disclaimer
The Services are provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We make no warranties about the accuracy or completeness of the Services' content.
14. Limitations of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Services. Our liability will be limited to the amount paid by you to us in the 6 months prior to the claim.
15. Indemnification
You agree to defend, indemnify, and hold us harmless, including our officers, agents, partners, and employees, from any loss, damage, liability, claim, or demand arising out of your use of the Services, breach of these Legal Terms, breach of your representations, or violation of the rights of a third party.
16. User Data
We will maintain certain data that you transmit to the Services for performance management. Although we perform regular backups, you are solely responsible for all data you transmit. We will have no liability to you for any loss or corruption of such data.
17. Electronic Communications, Transactions, and Signatures
Visiting the Services and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, and disclosures provided electronically satisfy any legal writing requirement.
18. Miscellaneous
These Legal Terms constitute the entire agreement between you and us. We may assign our rights and obligations at any time. If any provision is unenforceable, it is severable and does not affect the validity of the remaining provisions. No joint venture, partnership, employment, or agency relationship is created by these Legal Terms.
